Nick is a partner in Kennedys’ Bermuda office. His practice encompasses insurance and reinsurance, corporate, insolvency and restructuring and banking and finance matters. He is admitted as a Barrister and Attorney of the Supreme Court of Bermuda and is admitted and enrolled as a Solicitor of the Senior Courts of England and Wales.

Nick advises insurers and investors and participants in the insurance industry on a wide range of regulatory and corporate matters, including the licensing of entities registered under the Insurance Act 1978, acquisition and disposal of shares, mergers and amalgamations, public and private offerings of securities. He advises clients from all industry sectors on restructuring and insolvency matters, and is well-known for his skill and experience in designing and drafting insurance and reinsurance structures to meet the needs of complex and unusual circumstances.

He is a committee member of the Restructuring and Insolvency Specialists Association of Bermuda (RISA). He has been intimately involved in a number of law reform initiatives in Bermuda, ranging from insolvency to insurance law.

Nick also contributed to the fourth edition of Kennedys’ Global Legal Handbook, one of our most popular guides, which outlines the main legal and procedural issues that case handlers may encounter when dealing with claims across 53 jurisdictions globally.

Work highlights

  • Advising Amedex Insurance Company (Bermuda) Ltd (Amedex), a wholly-owned subsidiary of Bupa, on all aspects of its long-term business transfer scheme under Section 25 of the Insurance Act 1978, including negotiation and drafting of transaction documents and liaison with the Bermuda Monetary Authority and representation of Amedex before the Supreme Court of Bermuda on its application for sanction of the transfer scheme.
  • Acting for Bermuda Commercial Bank Limited in connection with its sale by merger to Provident Holdings Ltd.
  • Successfully representing officers of Deloitte & Touche Tohmatsu (Hong Kong) in their application for orders appointing them as joint liquidators of Ping An Securities Group Holdings Ltd and declining the application of the nominees of the creditors in Re Ping An Securities Group (Holdings) Limited [2022] SC (Bda) 25 Com (8 April 2022).
  • Acting as Bermuda Counsel to Randall & Quilter Investment Holdings Ltd and a subsidiary company in connection with various debt securities issuances and in connection with the disposal of a captive management business to Davies Group Ltd.
