Stan is a Senior Associate in Kennedys Commercial Disputes and Regulatory Team in Hong Kong.  Qualified in Hong Kong, he is experienced in representing clients, from initial negotiations through to court battles and settlements, in a broad range of highly complex and contentious matters including shareholders’ disputes, contractual disputes, banking and finance disputes and insolvency-related disputes, many of which are multi-jurisdictional in nature.  He also represents institutional and individual clients in investigations conducted by regulators.

Work highlights

  • Representing a shareholder in a highly contentious shareholders’ dispute in respect of an over USD$3 billion Japanese gaming business listed on the Tokyo Stock Exchange which involved injunctive relief applications and judicial review proceedings in Hong Kong as well as parallel proceedings in Tokyo.
  • Representing a second mortgagee in a highly contentious dispute against the first mortgagee and receivers in relation to loans secured by office premises worth over HKD$2 billion.
  • Representing INEDs in an independent investigation and also regulatory enquiries in relation to certain transactions entered into by the subsidiary of a Hong Kong Stock Exchange listed company.
  • Advising various insurers in relation to issues of coverage, subrogation, application of excess and double insurance etc. under a broad range of insurance policies.
  • Representing creditors, debtors and insolvency practitioners in various types of insolvency disputes involving asset recovery and realization, schemes of arrangement, section 221 examination and section 29 examination, etc.
  • Representing listed companies in investigations conducted by regulators including the Securities and Futures Commission and Hong Kong Stock Exchange.
  • Representing a US-based multinational gaming corporation in a dispute against a global investment institution for retrieving over USD$200 million worth of shares in a public company listed on the Philippines Stock Exchange.
  • Representing an American entrepreneur and philanthropist in resisting an application to enforce his undertaking as to damages following the discharge of a worldwide Mareva injunction obtained in aid of US court proceedings in relation to a USD$54 million claim.
  • Representing the CEO of a listed Hong Kong investment firm in defending third party proceedings brought against him for alleged breach of warrant of authority, misrepresentation and negligence arising out of alleged mis-selling of derivatives products.
  • Representing an investment company in a dispute against a Taiwan-based pharmaceutical company regarding mandatory redemption of convertible bonds under a convertible bond purchase agreement.
  • Acting for victims in international cyber fraud cases involving unauthorised fund transfers and successfully recovering the proceeds of fraud from bank accounts held by the fraudsters by commencing writ actions and garnishee proceedings in Hong Kong.
  • Representing a group of distressed debt investors in a dispute concerning a USD$500 million syndicated loan which involved parallel proceedings in multiple jurisdictions including Hong Kong, Mainland China, BVI and Cayman Islands. A favourable judgment was obtained concerning the construction of the underlying finance documents and subsequently achieved a settlement for the clients on favourable terms.
